Capital Raising

Investor Base

CFS has developed a proprietary, institutionally oriented, investor network that includes a comprehensive universe of private equity funds, venture capitalists, mezzanine investors, high networth individuals, family offices, money center and regional commercial banks and strategic partners/acquirers.  CFS built this network by presenting sound investment opportunities in an effective manner.  Investors in the network value this track record and rely on a rigorous screening and pre-qualification of a transaction before a CFS-sponsored deal is brought to the market.

Transactions Types

As an exclusive financial advisor engaged to raise capital, CFS guides a client through the complicated process of structuring and obtaining the most appropriate financing package given the specific operating characteristics and objectives of the client.  CFS maintains significant experience in arranging debt and equity for both publicly-owned and privately-held companies.  Typical CFS offerings include:

Private equity: $5 million or greater

Subordinated debt: $5 million or greater

Senior debt: $10 million or greater

The process begins with a detailed review of our client's business in order to gain a thorough understanding of its business model, marketplace, strengths and weaknesses, and transaction objectives.  From there, CFS professionals draw on their operating and transactional experience to develop the optimal capital structure and funding strategy for the company.

Proper Capital Structure

CFS helps determine a client's optimal capital structure based on the company's objectives and identifies the most cost-effective financial instruments available. Then, we help our clients obtain attractive capital quickly and efficiently.

Process Overview

This strategy is then implemented through a series of steps, beginning with the development of a comprehensive Private Placement Information Memorandum, that is necessary to introduce a given offering to the investment community.  CFS develops this document based on a proven presentation formula that is customized to highlight the merits of a specific transaction.  The document includes:

· A detailed discussion on the company's business, its history, competitive landscape, growth strategy, operations, sales and marketing, employees and management, ownership and capital structure

· An extensive financial analysis including detailed financial projections and credit statistics, and rate of return analyses tailored to the target audience

· A description of the proposed transaction and its investment considerations

CFS professionals then market the transaction to our investors using the Information Memorandum along with direct, personal contact with every targeted investor.  Financing proposals are gathered and a short list of potential investors is selected from which term sheets are negotiated. We evaluate multiple proposals and help select the best partners.  CFS’s senior professionals continue to represent our clients through the crucial periods of due diligence, negotiation and financial closure to achieve the most advantageous terms for our clients.
